1. Who We Are
Throughout these Terms, "Stoplight Pro," "Company," "we," or "us" means Stoplight Pro, a product and service focused on traffic light detection, timing, and analysis.
2. Account Registration
To use Stoplight Pro, you may need to create an account and subscribe to certain paid plans. You agree to provide accurate, up-to-date information, keep your login credentials secure, and notify us of unauthorized use. You're responsible for all activity under your account.
3. Your Responsibilities
You agree to use Stoplight Pro lawfully and respectfully. That means no misuse, abuse, or reverse-engineering; uploading malicious content; or violating applicable laws or regulations.
4. Subscription & Payment
Stoplight Pro offers paid subscription plans only. Unless otherwise stated in an executed order form, subscriptions are billed in advance and automatically renew at the end of each billing cycle at the then-current rates unless you cancel through the account portal before the renewal date. You authorize Stoplight Pro (or our third-party payment processor) to charge your designated payment method for all applicable fees, taxes, chargebacks, and collection costs. All fees are non-refundable except as required by law. We may modify the applicable fees or introduce new charges upon at least thirty (30) days' prior notice. Your continued use of the Services after the notice period constitutes acceptance of the new fees.
5. Your Data & Privacy
You own your data. We never sell it, and we only use it to deliver the services you've signed up for. For full details, please review our Privacy Policy.
6. Intellectual Property
All intellectual property related to Stoplight Pro—platform features, visuals, branding, etc.—is owned by Stoplight Pro. You may not use our brand or codebase without permission.
7. Termination
We reserve the right to suspend or terminate accounts that violate these Terms. You may also close your account at any time.
8. Disclaimers
Stoplight Pro is provided "as is" and "as available." We do not guarantee uninterrupted service or that the platform will be free of bugs or errors.
9. Limitation of Liability
To the fullest extent permitted by law, Stoplight Pro shall not be liable for any indirect, incidental, or consequential damages arising out of your use of the Services. Our total liability will not exceed the amount you've paid us in the past 12 months.
10. Indemnification
You agree to indemnify, defend, and hold harmless Stoplight Pro, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your breach of these Terms, (b) your misuse of the Services or violation of applicable law, or (c) any content you submit, post, or transmit through the Services.
11. Force Majeure
Stoplight Pro will not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, strikes, shortages of transportation facilities, fuel, energy, labor, or materials.
12. Governing Law; Dispute Resolution
These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws provisions. Any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The seat and venue of arbitration will be Austin, Texas. Either party may bring an individual claim in small claims court. Class actions are waived to the extent permitted by law. Notwithstanding the foregoing, either party may seek temporary or injunctive relief in a court of competent jurisdiction to protect its confidential information or intellectual property, or to enforce an arbitration award.
13. Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without Stoplight Pro's prior written consent. We may freely assign or transfer these Terms without restriction. Any attempted assignment other than as permitted herein will be null and void.
14. Severability & Waiver
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Stoplight Pro's failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
15. Updates
We may update these Terms from time to time. We will notify you of material changes at least thirty (30) days before they take effect. Your continued use of Stoplight Pro after the effective date constitutes acceptance of the updated Terms.
