Terms of Service

1. Who We Are

Throughout these Terms, "Stoplight Pro," "Company," "we," or "us" means Stoplight Pro, a product and service focused on traffic light detection, timing, and analysis.

2. Account Registration

To use Stoplight Pro, you may need to create an account and subscribe to certain paid plans. You agree to provide accurate, up-to-date information, keep your login credentials secure, and notify us of unauthorized use. You're responsible for all activity under your account.

3. Your Responsibilities

You agree to use Stoplight Pro lawfully and respectfully. That means no misuse, abuse, or reverse-engineering; uploading malicious content; or violating applicable laws or regulations.

4. Subscription & Payment

Stoplight Pro offers paid subscription plans with two tiers: Standard and Insider. To reserve your subscription, you must place a fully-applied, refundable reservation payment. Your monthly subscription billing begins when your device is activated, not when you place your reservation. Unless otherwise stated in an executed order form, subscriptions automatically renew at the end of each billing cycle at the then-current rates unless you cancel through the account portal before the renewal date. You authorize Stoplight Pro (or our third-party payment processor) to charge your designated payment method for all applicable fees, taxes, chargebacks, and collection costs. We may modify the applicable fees or introduce new charges upon at least thirty (30) days' prior notice. Your continued use of the Services after the notice period constitutes acceptance of the new fees.

4.1 Geographic Availability & Reservations

Stoplight Pro services are currently expanding in select cities, including Austin, Texas. We are actively working to launch in additional cities. You may place a reservation even if Stoplight Pro is not yet expanding into your city. Devices will be shipped in production batches and we will notify reservation holders via email when service expands into their city. Reservation holders will receive priority notification of new city launches. Stoplight Pro does not guarantee availability in any specific city or timeframe, and device activation is subject to service availability in your location.

4.2 Device Return Policy

A Stoplight Pro device is included with your subscription. If you deactivate your account and you have had the device for less than two (2) years from the date of activation, you must either:

  • Return the device to Stoplight Pro in good working condition within thirty (30) days of account deactivation, or
  • Pay the full cost of the device as determined by Stoplight Pro.

If you fail to return the device within the specified timeframe or choose not to return it, Stoplight Pro will charge your designated payment method for the cost of the hardware device. After two (2) years from the date of device activation, you may keep the device upon account deactivation without additional charge. Stoplight Pro will provide you with a prepaid return shipping label and return instructions upon account deactivation if the device return requirement applies.

5. Your Data & Privacy

You own your data. We never sell it, and we only use it to deliver the services you've signed up for. We use strictly necessary cookies to operate the account area (session, security, and limited preference). We may use privacy‑friendly analytics to understand site usage (e.g., page views and interactions), and we configure analytics with safeguards like IP anonymization and disabled ad personalization. We maintain sign‑in activity logs (date/time, IP, user‑agent) to secure accounts; offer optional Two‑Factor Authentication (2FA) using per‑account secrets; and may validate shipping addresses using USPS standardization. If you use OAuth providers (e.g., Google or Apple) to sign in, we receive limited profile information such as a verified email—never your OAuth password. For full details, review our Privacy Policy.

6. Intellectual Property

All intellectual property related to Stoplight Pro—platform features, visuals, branding, etc.—is owned by Stoplight Pro. You may not use our brand or codebase without permission.

7. Termination & Deletion

We reserve the right to suspend or terminate accounts that violate these Terms. You may also request account deletion at any time. Deletions are scheduled to occur at the end of your current billing period and can be cancelled before that date from your account settings. Once deletion is finalized, access is removed and data is handled per our Privacy Policy retention schedule.

8. Disclaimers

Stoplight Pro is provided "as is" and "as available." We do not guarantee uninterrupted service or that the platform will be free of bugs or errors.

9. Limitation of Liability

To the fullest extent permitted by law, Stoplight Pro shall not be liable for any indirect, incidental, or consequential damages arising out of your use of the Services. Our total liability will not exceed the amount you've paid us in the past 12 months.

10. Indemnification

You agree to indemnify, defend, and hold harmless Stoplight Pro, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your breach of these Terms, (b) your misuse of the Services or violation of applicable law, or (c) any content you submit, post, or transmit through the Services.

11. Force Majeure

Stoplight Pro will not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, strikes, shortages of transportation facilities, fuel, energy, labor, or materials.

12. Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws provisions. Any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The seat and venue of arbitration will be Austin, Texas. Either party may bring an individual claim in small claims court. Class actions are waived to the extent permitted by law. Notwithstanding the foregoing, either party may seek temporary or injunctive relief in a court of competent jurisdiction to protect its confidential information or intellectual property, or to enforce an arbitration award.

13. Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without Stoplight Pro's prior written consent. We may freely assign or transfer these Terms without restriction. Any attempted assignment other than as permitted herein will be null and void.

14. Severability & Waiver

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Stoplight Pro's failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

15. Updates

We may update these Terms from time to time. We will notify you of material changes at least thirty (30) days before they take effect. Your continued use of Stoplight Pro after the effective date constitutes acceptance of the updated Terms.
